Today, Anthropic is committing a portion of Anthropic’s shares to the Anthropic Public Benefit Fund, a new entity with a structure that increases the stake as the company grows. Subject to stockholder approval, 5% of Anthropic’s shares will be committed today, with an additional 2% added at the board’s discretion for every 50% increase in the company’s value above a set baseline.

As a public benefit corporation, most mission work stays inside the company (AI safety research, biomedical research, nonprofit discounts). The Fund has increased flexibility and scale for large donations or direct distributions to specific populations.

Example: labor market impacts — Anthropic has already committed $200 million to studying and addressing worker instability; the Fund can pursue bolder approaches.

Structure: wholly-owned LLC (not 501(c)(3)) for adjustability between giving forms. No Anthropic equity held by the LLC will be used for lobbying or political giving, in the US or abroad.

The more Anthropic grows, the larger the share that can be dedicated to the public good — framed as redirecting escalating executive compensation equity to public benefit.

Prior commitments: co-founders pledged to donate 80% of equity; employee equity donation match (~half of employees participate). Combined with today’s announcement, roughly 20% of Anthropic shares dedicated to the public good, plus milestone additions.

Anthropic will share governance, valuation milestones, and progress in an upcoming public benefit report.
